Hire a trained assistant for the work that's slowing you down, from your CRM and ad accounts to content, design, and support. We match the role to your business and manage the output, so it gets handled without another full-time hire.

1. Introduction

These Terms and Conditions ("Terms") govern your use of the website at invertodigital.com and your engagement with any services offered by Inverto Digital. By accessing our website or entering into a service agreement with us, you agree to be bound by these Terms in full.

Inverto Digital provides Virtual Assistant placement and management, GoHighLevel CRM development, AI automation, white-label fulfillment, and related digital services to businesses and agencies worldwide. These Terms apply to all clients, website visitors, and any party that engages with Inverto Digital in any capacity.

We reserve the right to update these Terms at any time. Continued use of our services following any update constitutes acceptance of the revised Terms.

2. Acceptance of Terms

By booking a discovery call, signing a service agreement, making a payment, or otherwise engaging with Inverto Digital, you confirm that you have read, understood, and agreed to these Terms and Conditions in their entirety.

If you are entering into these Terms on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to any part of these Terms, you must discontinue use of our website and services immediately.

3. Definitions

For the purposes of these Terms, the following definitions apply:

  • "Inverto Digital", "we", "us", or "our" refers to Inverto Digital, the company providing services under these Terms.

  • "Client", "you", or "your" refers to the individual, business, or organisation engaging Inverto Digital for services.

  • "Virtual Assistant" or "VA" refers to a specialist placed and managed by Inverto Digital on behalf of a client.

  • "Services" refers to any and all offerings provided by Inverto Digital, including but not limited to VA placement, GHL development, AI automation, white-label fulfillment, and marketing services.

  • "Agreement" refers to any service agreement, proposal, or contract entered into between Inverto Digital and a client.

  • "Platform" refers to any third-party software or tool used in the delivery of services, including GoHighLevel, Stripe, Google Workspace, and others.

  • "Deliverable" refers to any output, asset, automation, design, build, or result produced by Inverto Digital or its team as part of a service engagement.

  • "GHL" refers to GoHighLevel, the CRM and marketing automation platform central to many of our services.

  • "Snapshot" refers to a GoHighLevel account configuration or template that can be exported and imported across subaccounts.

4. Eligibility to Use Our Services

Our services are intended for businesses, agencies, and professional individuals. By engaging with Inverto Digital, you confirm that:

  • You are at least 18 years of age

  • You are legally authorised to enter into binding agreements in your jurisdiction

  • You are engaging our services for legitimate business purposes

  • The information you provide to us is accurate and complete to the best of your knowledge

Inverto Digital reserves the right to decline or discontinue services to any party at its discretion, without obligation to provide reasons.

5. Scope of Services

Inverto Digital offers the following primary service categories:

  • Virtual Assistant Placement & Management - Recruiting, training, and managing dedicated VAs matched to your business needs

  • GoHighLevel Development - CRM setup, workflow automation, funnel builds, AI conversation bots, and platform configuration

  • AI Automation & Bot Development - Custom AI agents, conversation bots, and workflow automations across platform

  • White-Label Fulfillment - Full back-office delivery under your brand for agencies and resellers

  • Done-For-You Marketing - Strategy, execution, and reporting across paid and organic channels

The specific scope of services for each client engagement is defined in the respective service agreement or proposal. Any work falling outside the agreed scope will be subject to separate discussion and may incur additional costs.

6. Website Use

By accessing invertodigital.com, you agree to use the website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the site.

You must not:

  • Attempt to gain unauthorised access to any part of the website or its underlying systems

  • Use the website to transmit harmful, offensive, or unlawful content

  • Scrape, copy, or reproduce any content from the website without prior written permission

  • Use any automated tools to access or interact with the website without our consent

Inverto Digital reserves the right to restrict or terminate access to the website at any time, without notice, for any conduct we determine to be inappropriate or in violation of these Terms.

7. Discovery Calls & Consultations

Discovery calls offered by Inverto Digital are complimentary consultations designed to assess your business needs and determine whether our services are the right fit.

By booking a discovery call, you acknowledge that:

  • The call is exploratory in nature and does not constitute a service agreement

  • Any advice, recommendations, or suggestions provided during the call are general in nature and do not represent a guarantee of results

  • Inverto Digital may take notes during the call for internal use and follow-up purposes

  • Calls are booked through our GoHighLevel calendar system and your contact information will be stored in our CRM

  • Discovery calls are not recorded without prior notice. If a call is to be recorded for any purpose, you will be informed beforehand.

8. SMS Messaging Program

Inverto Digital operates an SMS messaging program designed to ensure optimal customer support and timely communication with our clients and prospects. By opting into our SMS program, you consent to receive the following message types:

  • Service updates related to your active engagement with Inverto Digital

  • Appointment confirmations and reminders for discovery calls and consultations

  • Responses to service-related inquiries submitted through our website or team

  • Marketing promotions and updates about our services, where applicable

Opt-Out:

You can cancel the SMS service at any time. Just text 'STOP' to (307) 306-6466. After you send the SMS message 'STOP' to us, we will send you an SMS message to confirm that you have been unsubscribed.

Support:

If you are experiencing issues with the messaging program, you can reply with the keyword HELP for more assistance.

Rates & Frequency:

Message and data rates may apply. Message frequency varies based on your interactions with our service.

Carrier Liability:

Carriers are not liable for delayed or undelivered messages.

8. Service Agreements

All formal engagements with Inverto Digital are governed by a service agreement or proposal agreed upon in writing between both parties. The service agreement will outline:

  • The specific services to be delivered

  • Timelines and milestones where applicable

  • Payment terms and amounts

  • Responsibilities of both parties

  • Any special conditions relevant to the engagement

In the event of any conflict between these Terms and a specific service agreement, the terms of the service agreement shall take precedence for that engagement.

No work will formally commence until a service agreement has been accepted and any applicable upfront payment has been received.

9. Project Onboarding

Following the acceptance of a service agreement, Inverto Digital will initiate an onboarding process to gather the information and access required to begin work. This may include:

  • Business information and brand assets

  • Access to platforms, accounts, and tools

  • Project briefs, goals, and preferences

  • Login credentials or admin invitations to relevant systems

Timely completion of onboarding by the client is essential. Delays in providing required information or access may result in corresponding delays to project timelines. Inverto Digital is not responsible for delays caused by incomplete or late onboarding from the client's side.

10. Virtual Assistant Services

Inverto Digital recruits, trains, and manages Virtual Assistants placed with clients across a range of specialist roles. The following terms apply to all VA engagements:

  • VAs are employed or contracted by Inverto Digital and placed with clients on a managed basis

  • Clients do not enter into a direct employment or contractor relationship with the VA

  • Inverto Digital retains management oversight of all VAs throughout the engagement

  • VAs operate according to the agreed scope of work and the client's reasonable instructions within that scope

  • Clients must not direct VAs to perform tasks outside the agreed scope without first consulting Inverto Digital

  • Time tracking is in place for all VA engagements to ensure transparency and accountability

  • Inverto Digital provides daily updates on VA progress where agreed as part of the service

  • Inverto Digital reserves the right to reassign or replace a VA where necessary, including due to performance issues, illness, or internal operational decisions.

11. Dedicated Virtual Assistant Replacement Policy

If a dedicated VA is unable to continue your engagement for any reason - including resignation, termination, health, or performance - Inverto Digital will make reasonable efforts to provide a replacement VA within a reasonable timeframe.

During any transition period, Inverto Digital will take reasonable steps to ensure continuity of service and minimise disruption to your operations.

Replacement VAs will be matched to your requirements in the same manner as the original placement. If a suitable replacement cannot be identified within a reasonable period, Inverto Digital will discuss alternative arrangements with you, which may include a temporary adjustment to your service or a proportional credit.

12. White-Label Fulfillment Services

Inverto Digital offers white-label fulfillment services to agencies and resellers who wish to deliver our capabilities under their own brand. The following terms apply:

  • All work produced under white-label arrangements will carry no reference to Inverto Digital unless explicitly agreed otherwise

  • The agency or reseller is responsible for managing the client relationship and communicating deliverables to their end clients

  • Inverto Digital's identity, involvement, and systems must be kept confidential from the end client unless Inverto Digital gives written permission to disclose

  • The agency or reseller remains responsible for ensuring that the scope of work communicated to their clients accurately reflects what has been agreed with Inverto Digital

  • Any misrepresentation of our capabilities or deliverables to end clients is the sole responsibility of the agency or reseller.

13. GoHighLevel Services

Where Inverto Digital provides GoHighLevel-related services, the following terms apply:

  • All GHL work is performed within your account or subaccount unless otherwise agreed

  • You are responsible for maintaining an active GoHighLevel subscription at the appropriate tier for the work required

  • Inverto Digital is not responsible for changes made to your GHL account by you or any other third party during or after our engagement

  • Platform outages, feature changes, or policy updates by GoHighLevel that affect deliverables are outside our control and do not constitute a failure of service on our part

  • Inverto Digital does not guarantee specific results from GHL automations, funnels, or campaigns, as performance depends on numerous factors outside our control.

14. GoHighLevel Snapshot Ownership

Where Inverto Digital builds a GoHighLevel Snapshot - a packaged account configuration, workflow set, or template - as part of a client engagement, the following ownership terms apply:

  • Upon full payment for the engagement, ownership of the specific Snapshot configuration built for your account transfers to you

  • Inverto Digital retains the right to use the underlying frameworks, structures, logic, and methodologies used in building the Snapshot for other client engagements

  • The Snapshot may not be resold, redistributed, or shared with third parties without prior written consent from Inverto Digital

  • Where a Snapshot is developed as part of a white-label arrangement, the reselling or redistribution rights will be defined in the specific service agreement

15. AI Automation & AI Bot Services

Where Inverto Digital builds AI automations, conversation bots, or AI-powered workflows, the following terms apply:

  • AI systems are built to your specifications and instructions

  • The performance and accuracy of AI-generated outputs depend on the quality of data, prompts, and configurations provided

  • Inverto Digital does not guarantee that AI bots or automations will perform without error or produce specific outcomes

  • You are responsible for reviewing and approving AI systems before they are deployed in a live environment

  • Any issues arising from the deployment of unapproved or improperly tested AI systems are the client's responsibility

  • Inverto Digital is not liable for responses generated by AI bots after deployment, including any inaccurate, inappropriate, or unexpected outputs.

  • Secure access controls and credential management for all team members

16. AI-Generated Content Disclaimer

Where AI tools are used in the creation of content, copy, automations, or other deliverables, the following applies:

  • AI-generated content is provided as a starting point and may require human review, editing, and approval before use

  • Inverto Digital does not warrant that AI-generated content is free from errors, inaccuracies, or bias

  • The client is responsible for reviewing and approving all AI-generated content before publication or deployment

  • Inverto Digital is not liable for any consequences arising from the use of AI-generated content that has not been reviewed and approved by the client.

17. Client Responsibilities

To enable Inverto Digital to deliver services effectively, clients are responsible for:

  • Providing accurate, complete, and timely information required for the engagement

  • Granting necessary access to platforms, accounts, and tools in a timely manner

  • Responding to communications and approval requests within agreed timeframes

  • Reviewing and approving deliverables before publication or deployment

  • Ensuring that all information, assets, and materials provided to Inverto Digital are owned by the client or that the client has the right to use them

  • Informing Inverto Digital promptly of any changes to business needs, goals, or circumstances that may affect the engagement

  • Complying with the terms and policies of all third-party platforms relevant to the engagement

Failure to meet these responsibilities may result in delays, additional costs, or suspension of services, for which Inverto Digital will not be held liable.

18. Communication Requirements

Effective communication is essential to the success of any engagement. Clients are expected to:

  • Maintain responsive communication through the agreed channels (email, Slack, GHL, or other designated tools)

  • Provide feedback and approvals within a reasonable timeframe to avoid delays

  • Designate a primary point of contact for the engagement

  • Notify Inverto Digital in advance of any planned periods of unavailability

Inverto Digital will make reasonable efforts to respond to client communications within one business day during standard working hours. Response times may vary for complex queries or during high-demand periods.

19. Access to Client Systems

Where a VA or Inverto Digital team member requires access to your systems to perform agreed services, the following applies:

  • Access will be requested only for systems directly relevant to the scope of work

  • All access credentials shared with Inverto Digital must be kept confidential and not shared beyond the team members who require them

  • Clients are responsible for providing access at the appropriate permission level - we will advise on what is needed

  • Inverto Digital will not access any systems or accounts beyond what is necessary for the agreed scope of work

  • Upon conclusion of the engagement or at the client's request, Inverto Digital will confirm the revocation of all access

  • If a VA is terminated, reassigned, or removed from your account for any reason, Inverto Digital takes full responsibility for revoking that VA's access to all client systems promptly.

20. Account Credentials & Security

Where clients share login credentials or account access with Inverto Digital:

  • Credentials must be shared through secure channels - we recommend using a password manager or secure sharing tool

  • Clients should avoid sharing master or owner-level credentials where sub-user access is available

  • Inverto Digital will treat all credentials as strictly confidential

  • Clients are advised to update credentials following the conclusion of any engagement as a standard security measure

  • Inverto Digital is not liable for security breaches resulting from credentials shared insecurely by the client or compromised through third-party platform vulnerabilities.

21. Intellectual Property Rights

Unless otherwise agreed in writing:

  • All pre-existing intellectual property belonging to either party remains the property of that party

  • Upon full payment, ownership of deliverables created specifically for a client engagement transfers to the client

  • Inverto Digital retains ownership of all underlying frameworks, methodologies, templates, systems, processes, and tools used in delivering services - including reusable code, automation logic, and design templates

  • Inverto Digital retains the right to use general knowledge, skills, and experience gained during client engagements for future projects

  • Clients must not reproduce, resell, or redistribute any deliverable in a way that competes directly with Inverto Digital's own services without prior written consent

22. Client Content & Materials

Where clients provide content, assets, copy, images, or other materials for use in delivering services:

  • The client warrants that they own or have the right to use all materials provided

  • The client grants Inverto Digital a limited licence to use those materials solely for the purposes of delivering the agreed services

  • Inverto Digital is not responsible for any copyright infringement or legal claims arising from the use of client-provided materials

  • Clients are responsible for ensuring that all provided materials comply with applicable laws, platform policies, and third-party rights.

23. Confidential Information

Both parties acknowledge that in the course of the engagement, each may have access to confidential information belonging to the other. Confidential information includes but is not limited to business strategies, client lists, pricing, systems, processes, financial information, and proprietary data.

Both parties agree to:

  • Keep all confidential information strictly private and not disclose it to any third party without prior written consent

  • Use confidential information only for the purposes of the engagement

  • Take reasonable steps to protect confidential information from unauthorised access or disclosure

  • Return or destroy confidential information upon request following the conclusion of the engagement

These confidentiality obligations survive the termination of any service agreement and remain in force indefinitely.

24. Non-Solicitation

During the term of any engagement with Inverto Digital and for a period of 24 months following its conclusion, the client agrees not to:

  • Directly solicit, hire, contract, or engage any Virtual Assistant or team member introduced to them through Inverto Digital, outside of the Inverto Digital engagement

  • Encourage or induce any Inverto Digital VA or team member to leave their position with Inverto Digital

  • Engage any former Inverto Digital VA or team member who approaches the client directly for independent work, without first obtaining written consent from Inverto Digital

  • This clause exists to protect the significant investment Inverto Digital makes in recruiting, training, and developing its team. Any breach of this clause may result in a placement fee equivalent to 12 of the VA's monthly rate being payable by the client to Inverto Digital.

25. Payment Terms

Payment terms for each engagement are outlined in the respective service agreement or invoice. General payment terms are as follows:

  • Payments are processed through Stripe or such other payment method as agreed between the parties

  • All fees are quoted and payable in US Dollars unless otherwise agreed

  • Work will not commence or continue where payment is outstanding beyond agreed terms

  • Inverto Digital reserves the right to adjust pricing for ongoing engagements with reasonable notice

  • All fees are exclusive of any applicable taxes, which remain the client's responsibility where applicable in their jurisdiction.

26. Subscription Services

Where services are provided on a recurring subscription basis:

  • Subscriptions are billed on the agreed cycle (weekly, monthly, or otherwise as specified)

  • Subscriptions renew automatically unless cancelled in accordance with these Terms

  • The client is responsible for ensuring valid payment details are maintained to avoid service interruption

  • Cancellation requests must be submitted in writing before the next billing cycle to avoid being charged for the subsequent period

  • Inverto Digital reserves the right to modify subscription pricing with reasonable written notice to the client.

27. Invoices & Billing

  • Invoices will be issued in accordance with the agreed payment schedule

  • Payment is due within the timeframe stated on the invoice

  • Disputed invoices must be raised in writing within 5 business days of receipt - undisputed portions remain payable on time

  • Inverto Digital reserves the right to suspend services where invoices remain unpaid beyond their due date.

28. Late Payments

Where payment is not received by the due date:

  • Inverto Digital reserves the right to pause or suspend services until the outstanding balance is settled

  • A late payment fee may be applied at Inverto Digital's discretion

  • Persistent non-payment may result in termination of the engagement in accordance with Section 38

  • Any costs incurred by Inverto Digital in recovering outstanding amounts - including reasonable legal or collection costs — may be passed on to the client.

29. Revisions & Change Requests

Revisions and change requests are handled as follows:

  • Any request to change the agreed scope of work must be submitted in writing

  • Minor revisions within the original scope will be accommodated at no additional cost within reason

  • Significant changes to scope, direction, or deliverables may require a revised agreement and additional fees

  • Inverto Digital will provide a written estimate for any out-of-scope work before proceeding

  • Approval of a change request constitutes agreement to any associated additional costs or timeline adjustments

30. Third-Party Platforms

Inverto Digital delivers many services using third-party platforms including but not limited to GoHighLevel, Meta, Google, Stripe, and Zoom. The following applies:

  • Inverto Digital is not responsible for outages, errors, policy changes, or disruptions caused by third-party platforms

  • Changes to platform features, algorithms, or policies that affect deliverables are outside our control and do not constitute a failure of service

  • Clients are responsible for maintaining active and compliant accounts on any third-party platform required for the engagement

  • Inverto Digital will make reasonable efforts to adapt to platform changes but cannot guarantee that all features or integrations will remain functional following third-party updates.

31. Performance Disclaimer

Inverto Digital is committed to delivering high-quality work. However:

  • We do not guarantee specific performance metrics, results, or outcomes from any service

  • Results depend on numerous factors outside our control, including market conditions, platform algorithms, client responsiveness, and the quality of client-provided materials

  • Past results achieved for other clients do not guarantee similar results for your engagement.

32. No Guarantee of Business Results

Inverto Digital provides professional services to support your business operations and growth. We do not guarantee:

  • A specific number of leads, sales, conversions, or revenue outcomes

  • Specific rankings, reach, or engagement metrics from marketing or SEO services

  • Business growth or profitability as a result of our services

Our role is to deliver the agreed services with skill and care. The ultimate outcomes of those services depend on factors that extend beyond the delivery of the work itself.

33. Marketing Campaign Performance Disclaimer

Where Inverto Digital manages paid advertising, social media, or other marketing campaigns on your behalf:

  • Ad performance is influenced by platform algorithms, audience targeting, market competition, budget, and creative quality - all of which can fluctuate

  • Inverto Digital will apply its best expertise and optimise campaigns based on available data, but cannot guarantee specific ROI, cost-per-lead, or conversion rates

  • The client is responsible for ensuring sufficient advertising budget is allocated and maintained throughout the campaign period

    Any reduction, pause, or withdrawal of advertising budget by the client may affect campaign performance and results.

34. Client Delays & Project Timelines

Project timelines are agreed upon at the start of each engagement. Where timelines are affected by delays on the client's side - including late provision of content, credentials, feedback, or approvals - the following applies:

  • Inverto Digital will not be held responsible for missed deadlines caused by client delays

  • Timelines will be adjusted accordingly and communicated to the client

  • Extended client delays may result in a project being placed on hold, with reactivation subject to team availability

  • Projects placed on hold for more than 30 days due to client inaction may require a reactivation fee or a revised agreement to resume.

35. CRM Access & Security Responsibilities

Where Inverto Digital or its VAs are granted access to a client's CRM or marketing platforms:

  • Access is granted for operational purposes only and used solely within the agreed scope

  • Inverto Digital maintains an internal log of access across client accounts

  • The client is responsible for ensuring their CRM account is maintained in good standing with the platform provider

  • Inverto Digital is not responsible for data loss, corruption, or disruption resulting from platform errors or actions taken by the client or other third parties within the account

  • Upon conclusion of the engagement, Inverto Digital will confirm revocation of all access within a reasonable timeframe.

36. Data Protection & Privacy

Inverto Digital handles all personal and business data in accordance with our Privacy Policy.

By engaging our services, you acknowledge that data collected during the engagement will be processed as described in our Privacy Policy. Where Inverto Digital acts as a data processor on your behalf - for example, when handling your clients' data within your GHL account - you remain the data controller and are responsible for ensuring appropriate legal basis exists for that processing.

37. Termination by Client

You may terminate your engagement with Inverto Digital at any time by providing written notice in accordance with the terms of your service agreement. Upon termination:

  • Any work completed up to the termination date will be invoiced and must be paid in full

  • Any prepaid fees for services not yet delivered will be subject to the Refund Policy in Section 40

  • Access provided to Inverto Digital or its VAs will be revoked by the client promptly following termination

  • Inverto Digital will confirm revocation of all internal access on its side within a reasonable timeframe.

38. Termination by Inverto Digital

Inverto Digital reserves the right to terminate any engagement with immediate effect in the following circumstances:

  • Non-payment or persistent late payment

  • Breach of these Terms or the service agreement

  • Conduct that is abusive, threatening, or unlawful toward our team

  • Discovery that information provided by the client was materially false or misleading

  • Circumstances that make continuation of the engagement impractical or untenable

  • Where termination is not due to client fault, Inverto Digital will provide reasonable notice and will refund any prepaid fees for services not yet delivered.

39. Effects of Termination

Upon termination of any engagement, regardless of the reason:

  • All outstanding invoices become immediately due and payable

  • Each party will return or destroy the other's confidential information upon request

  • Inverto Digital will revoke all VA and team member access to client systems

  • Deliverables completed and paid for up to the termination date remain the client's property

  • Incomplete deliverables will be handed over in their current state, with no obligation on Inverto Digital to complete them post-termination

  • Confidentiality and non-solicitation obligations survive termination and remain in force as specified in these Terms.

40. Refund Policy

Refunds are assessed on a case-by-case basis at Inverto Digital's discretion. General principles are as follows:

  • Where work has not yet commenced following payment, a full refund may be issued upon written request

  • Where work is in progress, refunds will reflect the portion of work not yet completed at the time of the request

  • No refunds will be issued for completed and delivered work that has been approved by the client

  • Refunds will not be issued where delays or dissatisfaction result from the client's failure to fulfil their responsibilities under these Terms

  • Subscription fees for the current billing period are non-refundable upon cancellation, unless otherwise agreed in writing

  • All refund requests must be submitted in writing to [email protected]

41. Portfolio Rights

Inverto Digital reserves the right to feature work completed for clients in its portfolio, case studies, and marketing materials, unless the client has explicitly requested confidentiality in writing.

For white-label engagements, Inverto Digital will not disclose the identity of the end client or the agency in any portfolio use without prior written consent.

If you wish to opt out of portfolio use, please notify us in writing at the time of onboarding or at any point during the engagement.

42. White-Label Confidentiality

All white-label fulfillment arrangements are treated with strict confidentiality. Inverto Digital will not:

  • Disclose its involvement to the agency's end clients

  • Use the agency's brand, client names, or end client information for any purpose outside the engagement

  • Contact end clients directly without the prior written consent of the agency

  • Agencies engaging Inverto Digital for white-label services are responsible for ensuring their own client agreements permit the use of third-party fulfillment partners.

43. Independent Contractor Status

Inverto Digital operates as an independent contractor. Nothing in these Terms or any service agreement creates an employment relationship, partnership, joint venture, or agency between Inverto Digital and the client.

Similarly, Virtual Assistants placed by Inverto Digital are not employees of the client. They remain under the operational oversight and management of Inverto Digital throughout the engagement.

Inverto Digital is responsible for its own tax obligations and those of its team. Clients are not required to withhold taxes or provide employment benefits in connection with our engagement.

44. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Inverto Digital's total liability to the client for any claim arising from or related to these Terms or any service engagement shall not exceed the total fees paid by the client to Inverto Digital in the three months preceding the claim

  • Inverto Digital shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, loss of data, loss of business, or reputational damage

  • Inverto Digital is not liable for losses arising from third-party platform outages, policy changes, or failures outside our control.

45. Indemnification

The client agrees to indemnify and hold harmless Inverto Digital, its directors, employees, contractors, and Virtual Assistants from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:

  • The client's breach of these Terms

  • The client's use of our deliverables in a manner not intended or approved

  • Any third-party claim arising from materials, content, or instructions provided by the client

  • The client's violation of any applicable law or third-party rights.

46. Dispute Resolution

In the event of a dispute arising from or in connection with these Terms or any service engagement, both parties agree to first attempt resolution through good-faith negotiation.

If the dispute cannot be resolved through negotiation within 30 days of written notice, both parties agree to pursue mediation before escalating to formal legal proceedings.

Inverto Digital and the client will agree on a mutually acceptable mediator. The costs of mediation will be shared equally unless otherwise agreed.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief where necessary to protect their interests.

47. Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

Both parties agree to submit to the jurisdiction of the courts relevant to the applicable governing law for the resolution of any disputes that cannot be settled through the mechanisms outlined in Section 46.

48. Force Majeure

Inverto Digital shall not be held liable for any failure or delay in the performance of its obligations where such failure or delay results from circumstances beyond our reasonable control. This includes but is not limited to:

  • Natural disasters, floods, earthquakes, or extreme weather events

  • Pandemic, epidemic, or public health emergency

  • War, civil unrest, or acts of terrorism

  • Government actions, sanctions, or regulatory changes

  • Power outages, internet disruptions, or infrastructure failures

  • Third-party platform outages or failures

In the event of a force majeure situation, Inverto Digital will notify the client as soon as reasonably practicable and will make reasonable efforts to resume normal service as quickly as possible. The affected obligations will be suspended for the duration of the force majeure event.

If a force majeure event continues for more than 30 days, either party may terminate the engagement with written notice, with fees payable only for work completed up to that point.

49. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable under applicable law, that provision shall be deemed severed from these Terms without affecting the validity and enforceability of the remaining provisions.

50. Waiver

Inverto Digital's failure to enforce any right or provision of these Terms at any given time shall not constitute a waiver of that right or provision. Any waiver must be made explicitly in writing to be considered valid.

51. Entire Agreement

These Terms, together with any applicable service agreement, proposal, or written correspondence agreed between the parties, constitute the entire agreement between Inverto Digital and the client with respect to the subject matter herein. They supersede all prior discussions, representations, or agreements, whether written or verbal.

52. Assignment

The client may not assign, transfer, or delegate any rights or obligations under these Terms or any service agreement to a third party without the prior written consent of Inverto Digital.

Inverto Digital reserves the right to assign or transfer its obligations under these Terms to a successor entity in the event of a merger, acquisition, or business restructuring, provided that the client's rights under these Terms are not materially affected.

53. Changes to These Terms

Inverto Digital reserves the right to update or modify these Terms at any time. Changes will be communicated by updating the Effective Date on this page. Where changes are material, we will make reasonable efforts to notify active clients directly.

Continued engagement with Inverto Digital following any update to these Terms constitutes acceptance of the revised version.
